1. Acceptance of Terms

By accessing or using BizwaChat ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These Terms constitute the entire agreement between you and BizwaChat regarding your use of the Service and supersede all prior agreements.

2. Service Description

What BizwaChat Provides

BizwaChat is a SaaS platform that enables businesses to integrate and manage WhatsApp communications through a centralized interface. Our platform includes:

• Shared team inbox for collaborative messaging
• Chatbot automation and workflow builders
• Broadcast campaigns and drip marketing
• WhatsApp Flows and form collection tools
• CRM integrations and analytics dashboards

Important: WhatsApp Balance Responsibility

BizwaChat is a middleware platform only. We do not sell WhatsApp message credits or provide WhatsApp balance. All WhatsApp Business messaging credits must be purchased directly from Meta/WhatsApp.

It is your responsibility to ensure your Meta/WhatsApp Business account is funded and active. BizwaChat provides the interface to manage these conversations, but the actual sending of messages depends on your WhatsApp balance and Meta's conditions.

3. Platform Fees & Payment

Pricing Structure

• BizwaChat charges a monthly platform usage fee for access to our interface and features
• Fees are billed in advance and are non-refundable except where required by law or per our Refund Policy
• Additional charges may apply for premium features, increased user seats, or higher message volumes

Payment Processing

We use Stripe Payment Gateway for secure payment processing. By providing payment information, you:

• Authorize us to charge your card on a recurring basis
• Authorize us to store your payment information securely via Stripe
• Agree that we never store or handle your full credit card details

⚠ Billing Important Notes

• If payment fails, your account access may be suspended until payment is resolved
• You are responsible for ensuring your billing information is current and accurate
• Currency and applicable taxes will be shown before purchase confirmation

4. License & Intellectual Property Rights

Service License

We grant you a limited, non-exclusive, non-transferable license to use the BizwaChat platform during the term of your subscription, subject to these Terms and payment of applicable fees.

This license does not permit you to: reverse engineer, decompile, or attempt to derive the source code; remove or alter proprietary notices; use the platform for competitive analysis; or use it in violation of applicable laws.

Our Intellectual Property

All intellectual property in the BizwaChat platform—including but not limited to software, logos, branding, designs, and documentation—is the exclusive property of BizwaChat or its licensors. You may not use, reproduce, or distribute any of this content without explicit written permission.

Your Content

You retain ownership of all content you upload or transmit through the Service. By using BizwaChat, you grant us a limited license to:

• Host, store, transmit, and process your content to operate the Service
• Create backups and archives for recovery and compliance purposes
• Analyze aggregated data (with your personal information removed) to improve our Service

5. User Responsibilities & Acceptable Use

Prohibited Activities

You agree not to use the Service for:

• Sending spam, phishing, malware, or fraudulent messages
• Harassing, threatening, or abusing customers or other users
• Violating any applicable laws, regulations, or third-party rights
• Unauthorized access or attempting to breach our systems
• Violating Meta/WhatsApp Business API policies and guidelines
• Reselling or redistributing the Service to third parties

Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You are liable for all activities performed under your account
• You must notify us immediately of any unauthorized access or suspicious activity

6. Compliance with Laws & Meta Policies

Your Compliance Obligations

You are solely responsible for ensuring your use of BizwaChat complies with:

• All applicable local, state, national, and international laws
• Meta's WhatsApp Business API Terms and Policies
• GDPR, CCPA, and other applicable data protection laws
• Industry-specific regulations relevant to your business

Suspension & Termination

We reserve the right to suspend or terminate your account if we detect or suspect: violation of these Terms, misuse of the Service, illegal activity, or non-compliance with Meta's policies. Violation of Meta's WhatsApp Business API policies may result in immediate account suspension.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: BizwaChat and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, and business interruption, even if advised of the possibility of such damages.

Our total liability to you for all claims arising from or related to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

Service Availability: While we strive for 99.9% uptime, the Service is provided "as-is." We do not guarantee uninterrupted service, and we are not liable for downtime caused by our infrastructure, third-party services, or circumstances beyond our reasonable control.

8. Copyright & DMCA

We respect intellectual property rights. If you believe content on the BizwaChat platform infringes your copyright, please notify us immediately in writing. We will investigate claims promptly. Repeat copyright violations may result in account termination.

9. Changes to Terms

BizwaChat may update these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of the Service following such updates indicates your acceptance of the revised Terms. We recommend reviewing this page periodically.
