These terms explain how Bizwachat works and what we expect from every user.

1. Acceptance of Terms

Bizwachat is a web and mobile platform operated by Ingress IT Solutions, 6th Floor, "Vraj Valencia", Science City Road, Sola, Ahmedabad, Gujarat 380060. In these Terms & Conditions, "Bizwachat," "we," "us," and "our" refer to the platform operator, and "you" and "your" refer to any registered or unregistered user.

By accessing the platform, creating an account, or using any service in any way, you agree to these terms and to the related policies referenced here. If you do not agree, you must stop using the platform.

You agree that communications from us may be provided electronically (for example, by email or in-app notices) and that such communications satisfy legal requirements for written notice where permitted by law.

These terms are intended for businesses, organizations, and other legal entities. You must have authority to bind your organization. If you use the service on behalf of another person or entity, you represent that you are authorized to do so.

Grievance Redressal

If you have a complaint, concern, or notice about misuse of information, a breach of these terms, or any legal issue, please contact our designated grievance channel as published on the platform.

2. Bizwachat Services

Bizwachat provides tools to manage, organize, and automate business conversations across messaging channels. Features may include multi-agent inboxes, automation flows, contact management, integrations, analytics, and message templates.

We may update, change, or discontinue features from time to time. We do not guarantee uninterrupted availability and may perform maintenance that affects access.

Third-Party Services

The platform may integrate with third-party services (including Meta/WhatsApp and payment processors). Third-party services are governed by their own terms and policies. We are not responsible for third-party outages, changes, or actions outside our reasonable control.

3. Account Registration & Maintenance

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and up-to-date information.

  • β€’Keep your login details private and protect them from unauthorized use
  • β€’Ensure the information in your account remains accurate and current
  • β€’Do not share your account with anyone who is not authorized
  • β€’Notify us promptly if you suspect a security issue or unauthorized access

Verification and Suspension

If the information you provide is false, incomplete, outdated, or misleading, we may suspend, limit, or close your account. We may also take action if your use of the account conflicts with these terms, WhatsApp policy requirements, or applicable law.

4. Subscription & Billing

Subscription Plans

You must choose a subscription plan from our pricing page to use the service. Subscription fees are payable according to the billing cycle offered to you, and unless you cancel before renewal, the subscription may renew automatically.

Subscription fees are generally non-cancelable and non-refundable, except where the law requires otherwise or we state a refund right in writing. For details, refer to our Refund Policy and Cancellation Policy.

Payment, Taxes, and Usage Charges

  • β€’Payments may be processed through providers such as Razorpay or Stripe
  • β€’You authorize recurring charges for the plan and any billed usage
  • β€’Taxes, duties, and similar government charges may be added where required
  • β€’WhatsApp template and conversation charges are billed separately from our platform fee

Non-Payment, Chargebacks, and Collections

If an undisputed invoice remains unpaid, we may restrict or suspend access to the service until the balance is settled. If you initiate a chargeback or payment reversal, we may pause access while the dispute is investigated.

You are responsible for maintaining accurate billing information and ensuring that payments can be processed.

Trials

If we offer a free trial, it may be limited by time, usage, or features. We may require you to add payment details to start or continue a trial. Trial terms (if any) will be shown to you at sign-up or in the plan details.

5. WhatsApp Business API Terms

Bizwachat integrates with WhatsApp Business API through WhatsApp Tech Service Providers and related partners. You understand that WhatsApp/Meta may change its policies, pricing, limits, and approval processes, and your access to WhatsApp features may be impacted by such changes.

You agree to comply with applicable WhatsApp/Meta terms and policies, including (without limitation) the following:

Customer Messaging Responsibilities

  • β€’You are responsible for collecting any required user consent/opt-in and providing required notices
  • β€’You must ensure templates and message content comply with WhatsApp/Meta policies
  • β€’WhatsApp may approve, reject, or change template rules at its discretion
  • β€’Violations of WhatsApp/Meta policies may result in suspension or termination of WhatsApp access

6. Acceptable Use

You agree not to misuse the platform. You must not (and must not encourage others to) use the platform or the Service to:

  • β€’Upload or share content that is unlawful, harmful, defamatory, obscene, misleading, or abusive
  • β€’Send viruses, malware, spam, or code designed to break or disrupt systems
  • β€’Impersonate another person or misuse another user’s account or system
  • β€’Interfere with the platform, its servers, or connected networks
  • β€’Reverse engineer, copy, resell, or repurpose the service without permission
  • β€’Use the service for spam, unauthorized solicitation, or unlawful commercial misuse
  • β€’Violate any applicable law, Meta policy, or third-party intellectual property right

7. Personal Data & Confidentiality

You are responsible for the personal data and content you upload or process using the Service, including ensuring you have the right to collect, use, and disclose that data and to send communications. Where we process such data on your behalf, we do so to provide the Service and in line with these terms and our policies.

Each party agrees to protect the other party’s Confidential Information using reasonable care. Confidential Information does not include information that is publicly available without breach, independently developed, or rightfully obtained from a third party without confidentiality obligations.

8. Intellectual Property

The platform, software, and all related materials are owned by us or our licensors and are protected by applicable intellectual property laws. Subject to these terms, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Service for your internal business use.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works of the Service except to the extent permitted by law.

9. Suspension & Termination

We may suspend, restrict, or terminate access to the Service if we reasonably believe there is misuse, a security risk, non-payment, legal non-compliance, or a breach of these terms. We may also take action to comply with legal requirements or third-party platform requirements.

You may request termination of your account by contacting [email protected]. Termination may not immediately delete data due to retention requirements described in our Privacy Policy and applicable law.

10. Warranties, Liability & Indemnity

The platform and Service are provided on an β€œas is” and β€œas available” basis to the fullest extent permitted by law. We disclaim all warranties, whether express or implied, including fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, business interruption, or loss of data, arising out of or related to your use of the Service.

You agree to indemnify and hold us harmless from claims, damages, liabilities, and costs arising out of your use of the Service, your breach of these terms, or your violation of law or third-party rights.

Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control, including natural disasters, war, strikes, equipment failure, power outages, government action, epidemics, pandemics, lockdowns, court orders, or third-party failures.
